Tips for a clean data room

  1. Use the numbered index as your folder names, so buyers can refer to "4.3" in their questions.
  2. Upload final, signed versions as PDFs, not drafts.
  3. Add a short note where something is missing or doesn't apply, rather than leaving an empty folder.
  4. Get NDAs signed before granting access, and log who viewed what.

How is a fundraising data room different from M&A?

Investors in early rounds need less: corporate documents, cap table, financials, key contracts and IP assignments. M&A buyers review everything, including tax, property, debt and every employee agreement.
